Legal Manager
Responsibilities:
- Provide full-cycle legal support for the company’s core business operations, including transaction structuring, legal due diligence, risk assessment, and compliance analysis.
- Draft, review, and revise various legal documents, including corporate governance materials, business contracts, and investment and financing agreements, ensuring all terms comply with domestic and international laws and regulations.
- Participate in major commercial negotiations, offering professional legal advice on complex issues to balance business objectives with legal risks.
- Establish and improve the company’s compliance management system, covering policy development, process optimization, and implementation oversight to ensure business activities meet the requirements of regulatory bodies such as the Hong Kong Securities and Futures Commission and the Hong Kong Monetary Authority.
- Lead the handling of legal disputes including litigation and arbitration, formulate response strategies, coordinate with local Hong Kong law firms, and proactively safeguard the company’s legal interests and prevent potential disputes.
- Provide daily legal consultation to departments such as business, finance, and human resources.
Requirements:
- Bachelor’s degree or above in Law.
- Minimum of 3 years of practical legal experience, including working in Hong Kong legal affairs or at an international law firm.
- Experience in cross-border finance, international trade, technology, or listed company legal affairs is preferred.
- Proficient in Hong Kong common law, corporate law, contract law, and regulations related to cross-border business, with the ability to independently handle complex legal matters.
